TMPGEnc: Audio problems, out of sync

I tried to put on a KVCD the movie dark city (already in DIVX). My first try was not soo good.... gap in sound and audio out of syn. Soo a converted the 25 fps of the DIVX to 23.97 fps with virtualdub but a obtain a sound completely out of syn... by 8-10 sec. What can i do????

Here it what i do:

- I have the dark city movie: DIVX5, 720x576, 25 fps, 48000 Hz
- I open it in virtuldub and change his fbs to 23.97.
- With virtual dub i extract the sound in wav forma (in 4400 Hz)t
- I open Tmpgenc, load the KVCD template (KVCDx2-CQ-704x480-_NTSCFilm_-1CD), and convert it. I change the minimum bitrate to 600.

But when i finished the virtualdub part i remark than the sound is out of syn. compltely by 10 sec. Even the wav file is not correct.

Keep the framerate at 25fps. Use a KVCD PAL template.
That should keep your audio/video in sync.
