If you want to maintain the aspect ratio use "accurate", otherwise your picture will look distorted a little bit.
You should crop the movie to 414x256 and then resize it to 352x198...

I did 2 convertions a 23.9 and 29.9fps. Right now I don't have a PAL source to convert, but the only thing I changed is the vbv buffer to 40.
The method I described above only works...
